Terms of Service

Effective Date: June 12, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and YukiSoftware OÜ (Registry Code: 17417945), a private limited company registered in Estonia, with registered address at Harju maakond, Tallinn, Kesklinna linnaosa, Uus-Sadama tn 21-207, 10120 ("Company," "we," "us"). By accessing or downloading the Yuki mobile application or website ("App"), you agree to be bound by these Terms. If you do not agree, strictly do not use the App.

2. Service Description

Yuki is an AI-powered Personal Productivity & Insight Engine. The App can optionally connect to data sources (such as Gmail and Calendar) to extract structured data and generate actionable insights.

Optional Integrations: Yuki is fully functional without any third-party data source connections. At sign-up, you provide only basic profile information (name, email, profile picture). Connecting Gmail and Calendar is entirely optional and can be done from the post-signup screen or any time later from Profile > Connect Gmail & Calendar. You may also disconnect at any time from the same screen, which immediately revokes Yuki's access tokens. Without these integrations, calendar and email-derived insights will simply show empty states; all manual features (tasks, expenses, groups, polls, grocery lists, trips, etc.) remain fully usable.

Financial expense tracking and subscription monitoring.
Travel itinerary organization and timeline visualization.
Calendar scheduling and conflict resolution.
Email drafting and "Quick Action" replies.
Automated task creation from actionable email content (payment due dates, check-in reminders, subscription renewals, delivery pickups).
Record enrichment with follow-up email data (refunds, cancellations, delays, status updates).
Collaborative group management for shared tasks, expenses, and polls.
Grocery and shopping list management (personal and shared within Groups).
Weather forecasts for trip destinations.
Real-time flight status enrichment (gates, terminals, delays).
Push notification alerts for task reminders, group activity, and email arrivals.
Birthday and special day reminders with wish-sending features.
Calendar file (.ics) import and event creation.

The Company reserves the right to modify, add, or remove features at any time.

3. AI Disclaimer, Auto-Sync & Accuracy (Best Estimates)

The App utilizes Large Language Models (LLMs) and Artificial Intelligence to interpret data. You acknowledge that AI is probabilistic and may produce inaccurate or "hallucinated" results.

Best Estimates Only: All extracted data—including financial amounts, dates, flight times, subscription costs, booking statuses, and refund amounts—are provided as "best estimates" based on the available email text. We do not guarantee 100% accuracy.
Status Updates & Enrichment: The App automatically updates existing records when follow-up emails are detected (e.g., cancellations, delays, refunds). These updates are best-effort interpretations and may include hedging language (e.g., "Probably cancelled — best to confirm with airline directly") when the system is uncertain. Always verify status changes against the original source.
Automated Tasks: Tasks created automatically from email content (payment reminders, check-in alerts, renewal notices) are based on AI-extracted dates and may be inaccurate. Missed or incorrect task dates are not the responsibility of YukiSoftware OÜ. You can disable auto-task creation in Profile > Privacy & Data.
AI-Generated Trip Itineraries: The Plan-a-Trip feature generates draft day-by-day itineraries based on your prompt and the trip window you select. These are best-effort suggestions only — restaurants, museums, attractions, opening hours, addresses, neighbourhoods, and durations may be inaccurate, outdated, or invented. Itineraries are clearly flagged as drafts inside the app. You must verify hours, addresses, prices, and reservations against official sources before relying on any place. YukiSoftware OÜ is not a travel agency, booking service, or tour operator and assumes no responsibility for missed reservations, closed venues, or other losses arising from AI-generated itineraries.
Auto-Sync Limitations: The automatic synchronization and data fetching from Gmail, Calendar, and other connected sources operates on a "best effort" basis. Data may not always be fetched completely, may be delayed, or may occasionally fail due to API limitations, network issues, or source formatting. IT IS ALWAYS THE USER'S RESPONSIBILITY TO VERIFY important information (flights, payments, appointments) against the original source.
Not Professional Advice: We are NOT a financial advisor, travel agency, or tax professional. You are solely responsible for verifying the accuracy of any extracted data (e.g., checking your actual bank statement or airline ticket) before relying on it.
No Liability for Errors: YukiSoftware OÜ is not liable for any missed flights, unpaid bills, or financial losses resulting from errors in data extraction, incorrect status updates, inaccurate auto-created tasks, or sync failures.
Weather Forecasts: Weather data displayed for trip destinations is fetched from third-party sources and provided for informational purposes only. YukiSoftware OÜ is not a weather service and does not guarantee forecast accuracy. Always check official sources before travel.
Flight Enrichment: Supplementary flight information (gates, terminals, delays) is sourced from third-party APIs and may be inaccurate or outdated. Always verify flight details directly with your airline or airport.
Push Notifications: Push notification delivery depends on your device, operating system, and network conditions. YukiSoftware OÜ does not guarantee delivery or timeliness of notifications. Missing a notification is not grounds for liability.
Grocery Lists: The grocery list feature is an organizational planning tool only. YukiSoftware OÜ is not a grocery delivery or shopping service and bears no responsibility for list accuracy, item availability, or purchases made based on list contents.

4. Groups

The App offers collaborative Groups for shared task management, expense splitting, and polls.

A. Data Sharing Within Groups

By creating or joining a Group, you agree that:

Tasks, expenses, settlements, comments, poll responses, and activity logs you create within the Group are visible to all active group members.
Your display name, avatar, and email address (via invitations) are shared with group members.
Calendar sharing within a Group is opt-in and disabled by default. If enabled, your calendar events are visible to group members.
Your personal data (emails, individual financial records, private tasks) is never shared with group members unless you explicitly create it within the Group context.

B. Group Membership & Removal

Group admins may remove members at any time. Removed members immediately lose access to all group data.
Historical activity records (e.g., "Alice added an expense") remain visible to other members after removal.
Outstanding expense balances are not automatically settled upon removal. Members are responsible for settling debts outside the App if necessary.

C. Expense Tracking Disclaimer

Group expense tracking and balance calculations are provided for organizational convenience only.
YukiSoftware OÜ is not a payment processor, financial intermediary, or debt collection service.
We are not liable for disputes between group members regarding shared expenses, settlements, or outstanding balances.
All financial settlements between members occur outside the App and are the sole responsibility of the parties involved.

5. Subscriptions & Payments

Merchant of Record: Financial transactions are processed by Apple (for iOS App Store purchases), Google (for Android Play Store purchases), or Paddle.com (for web-only purchases at yukihq.com). Each acts as the Merchant of Record for their respective transactions. We do not store or process your payment credentials. Paddle handles global VAT/GST collection and remittance on our behalf for web purchases. Paddle is not used inside the iOS or Android apps — in-app purchases on those platforms go exclusively through Apple's In-App Purchase system or Google Play Billing respectively, in compliance with each platform's policies.
Pro Features: Certain features, including Group creation, require an active Yuki Pro subscription.
Refunds: Refunds are governed by the policy of the platform that processed your purchase. For Apple App Store and Google Play Store purchases, refund requests are handled by Apple and Google respectively. For web purchases processed by Paddle (our Merchant of Record for web), refund requests are handled by Paddle in accordance with the Paddle Refund Policy. You can submit a refund request through the link in your Paddle receipt email, via the Paddle Buyer portal at paddle.net, or by contacting [email protected] — we will route the request to Paddle on your behalf.
Statutory Consumer Rights: Nothing in these Terms limits or excludes any mandatory consumer rights you may have under applicable law in your country of purchase, including any statutory withdrawal rights for residents of the EU/EEA, UK, and other jurisdictions. Such rights are administered by Paddle (for web purchases) or the relevant app store (for mobile purchases) in accordance with their respective policies.

6. User Conduct & Responsibilities

You agree NOT to:

Use the App for any illegal purpose.
Reverse engineer, decompile, or attempt to extract the source code of the App.
Use the "Quick Action" email sending feature to send spam, harassment, or phishing content.
Use Groups to harass, intimidate, or share offensive content with other members.
Create fraudulent expenses or manipulate group balances.

Contact Information Storage: The App allows you to store contact information (email addresses, phone numbers) of friends and family for features like birthday reminders and automated wishes.

User Responsibility: You are solely responsible for ensuring that you have the necessary consent and relationship with the individuals whose contact information you store.
Lawful Use: You agree to use stored contact information only for legitimate, non-commercial purposes such as sending personal greetings.
No Liability: YukiSoftware OÜ is not responsible for how you use the contact information stored within the App or any disputes arising from messages sent using our reminder features.

7. End User License Agreement (EULA)

A. License Grant

YukiSoftware OÜ grants you a limited, non-exclusive, revocable, non-transferable license to download and use the Yuki App on your personal devices solely for your personal, non-commercial use in accordance with these Terms. This license does NOT constitute a sale or transfer of ownership.

B. Intellectual Property Rights

You acknowledge and agree that:

The App, including all code, design, graphics, text, audio, video, and user interface elements, is the exclusive intellectual property of YukiSoftware OÜ.
The Yuki brand, logo, and all associated trademarks are owned by YukiSoftware OÜ.
You retain ownership of any content you create or store within the App (e.g., your personal notes, extracted data).
By using the App, you grant YukiSoftware OÜ a non-exclusive, worldwide license to use, reproduce, and modify anonymized usage data and aggregated insights for improving the App and our services, without attributing such data to you.

C. Restrictions

You agree NOT to:

Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App or any portion thereof.
Remove, obscure, or alter any copyright notices, trademark notices, or proprietary labels on the App.
Attempt to bypass, disable, or circumvent any security features or access controls, including DRM (Digital Rights Management).
Use the App for commercial purposes, including selling, renting, leasing, or charging others for access.
Sublicense, redistribute, or transfer the App to third parties.
Use the App to reverse engineer or access any underlying technology for competing products.
Access the App using automated methods (bots, scrapers, etc.) without express written permission.

D. Software Updates & Support

Updates: YukiSoftware OÜ may automatically download and install updates, patches, and new versions of the App without prior notice. Updates may modify features, fix security vulnerabilities, or change functionality.
Support: The App provides an in-app support chat powered by an AI assistant. You may optionally request escalation to a human support agent; if you do, your conversation history will be shared with our support platform, HelpScout (helpscout.com). Support is provided at YukiSoftware OÜ's sole discretion. The Company is not obligated to provide technical support, maintenance, or bug fixes.
Discontinuation: YukiSoftware OÜ reserves the right to discontinue, modify, or suspend any features, services, or the entire App at any time without liability.
Compatibility: We do not warrant that the App will remain compatible with future versions of iOS, Android, or third-party services (Gmail, Google Calendar, etc.).

8. Termination

We reserve the right to suspend your account without notice if we detect a violation of these Terms. You may terminate this agreement at any time by deleting your account via the "Privacy & Data" settings.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUKISOFTWARE OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM INACCURATE AUTO-CREATED TASKS, INCORRECT BOOKING STATUS UPDATES, ERRONEOUS REFUND DETECTION, GROUP EXPENSE DISPUTES, OR FAILURES IN RECORD ENRICHMENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE (12) MONTHS.

10. Governing Law

These Terms shall be governed by the laws of the Republic of Estonia. Any disputes shall be subject to the exclusive jurisdiction of the Harju County Court in Tallinn, Estonia.

11. Class Action Waiver (USA)

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. YOU AND YUKISOFTWARE OÜ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

12. Affiliate Links, Partner Sites & Third-Party Transactions

The App may display recommendations for third-party services, including but not limited to gift retailers, grocery delivery, tours, activities, restaurants, and travel bookings.
Affiliate Relationships: Yuki may earn a commission from bookings or purchases made through links within the App. This does not affect the price you pay.
No Endorsement: The inclusion of third-party services does not constitute an endorsement. We are not responsible for the quality, safety, or legality of any third-party service.
Independent Providers: All bookings are made directly with third-party providers. YukiSoftware OÜ is not a party to any transaction between you and such providers.
User Responsibility for Purchases: Any purchases, payments, or transactions you make on partner websites or third-party platforms are entirely at your own risk. YukiSoftware OÜ is NOT liable for any monetary loss, product quality issues, delivery failures, refund disputes, or any other damages arising from your transactions with partner sites. The respective partner or merchant is solely responsible for fulfilling orders and resolving disputes.
No Warranty: We make no warranties regarding the availability, pricing, or accuracy of products/services displayed from partner sites.

13. Currency Conversion & Financial Insights Disclaimer

The App allows you to select a preferred display currency for spending insights and financial summaries. The following disclosures apply:

Indicative Rates Only: Exchange rates used to convert transaction amounts into your preferred display currency are indicative approximations, not live or official rates. They are sourced from publicly available reference data and are updated periodically, not in real time.
Currency Volatility: Foreign exchange rates fluctuate continuously. The displayed converted amounts may not reflect the actual rate at which a transaction was processed by your bank, card network, or payment provider, and may differ substantially during periods of high market volatility.
Multi-Currency Consolidation: When transactions across multiple currencies are consolidated into a single display currency total (e.g., spending patterns, category summaries), the resulting figure is an estimate. YukiSoftware OÜ does not guarantee the accuracy of such consolidated totals.
Refund Amounts: Refund transactions detected from emails are recorded with negative amounts. The refund amount displayed is an AI-extracted estimate and may not match the exact amount credited to your account.
Not Financial Advice: Currency-converted figures are provided for informational and organizational purposes only. They do not constitute financial, tax, or investment advice. You should consult your bank statements, card issuer, or a qualified financial professional for authoritative transaction records.
No Liability: YukiSoftware OÜ is not liable for any financial decisions made based on currency-converted figures displayed in the App.

14. International Use & Regional Compliance

The App is designed for use worldwide. By using the App, you acknowledge and agree:

Compliance with Local Laws: You are solely responsible for ensuring your use of the App complies with local laws and regulations in your jurisdiction.
Service Availability: Certain features may not be available in all regions due to local regulations, payment processor restrictions, or third-party service limitations.
Export Controls: You agree not to use the App in violation of any applicable export control laws.
Content Restrictions: Some content or recommendations may be filtered or unavailable based on regional requirements.

Regional Notices:

Russia: By using the App in Russia, you acknowledge that your data may be processed outside the Russian Federation in accordance with applicable data localization requirements.
Middle East (UAE, Saudi Arabia, etc.): Users in the Middle East acknowledge that certain features involving financial tracking are for personal organization only and do not constitute financial advice regulated under local financial authorities.
India: Users in India acknowledge that disputes shall first be resolved through mediation before escalation to courts, in accordance with the Information Technology Act, 2000.
China: Users in mainland China acknowledge that certain Google-based features may have limited functionality due to local network restrictions.

15. Indemnification

You agree to indemnify, defend, and hold harmless YukiSoftware OÜ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or share through the App.

16. Force Majeure

YukiSoftware OÜ shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, sanctions, government actions, internet or telecommunications failures, cyberattacks, pandemics, or third-party service outages.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YukiSoftware OÜ regarding the App and supersede all prior agreements, understandings, and communications.

19. Acceptable Use & Your Responsibility

Yuki is a personal organization tool. You are solely responsible for the tasks, reminders, lists, events, and other content you create and for how you use the App. You must not use Yuki for any unlawful, harmful, or dangerous purpose, or to plan, facilitate, or record activities that are illegal or that could harm yourself or others. Yuki does not review, endorse, or take responsibility for user-created content or how the App is used, and disclaims all liability arising from such use or misuse, subject to and as limited by Section 9 (Limitation of Liability).

20. No Professional Advice

Yuki does not provide legal, medical, financial, tax, safety, or other professional advice. Content and AI suggestions are provided for general organizational purposes only. For any such matters, you should consult a qualified professional. This complements the "Not Professional Advice" disclaimer in Section 3.

21. AI & Automated Features; Accuracy

Yuki uses AI and automated extraction to generate suggestions and to detect information such as flight times, bookings, expenses, dates, and reminders. This information may be inaccurate, incomplete, or out of date and is provided "as is." You must independently verify any important detail (e.g., flight and travel times, reservations, amounts, dates) with the original source or provider before relying on it. Yuki is not liable for any loss arising from reliance on AI-generated or auto-detected information. This section supplements Section 3 (AI Disclaimer, Auto-Sync & Accuracy) and is subject to Section 9 (Limitation of Liability).

22. Third-Party Links & Affiliates

Yuki may show links to third-party services (e.g., flight and hotel search). Some are affiliate links from which Yuki may earn a commission at no extra cost to you. Third-party services are governed by their own terms and privacy policies; Yuki is not responsible for them. See Section 12 for further detail on affiliate links and partner sites.

23. Trademarks & Event Information (incl. FIFA World Cup)

Yuki is an independent app and is not affiliated with, endorsed by, authorized by, or sponsored by FIFA, any football association, broadcaster, team, or competition organizer. "FIFA World Cup," team names, and related marks are the property of their respective owners and are used for identification only. Match schedules and times are provided for personal calendar planning, may change, and should be confirmed with official sources. Such schedule and event information is provided "as is" and is subject to Section 9 (Limitation of Liability).
